Chefs Feeding Kids
Brand Ambassador Agreement
(see below form for important information)
Once approved, this Brand Ambassador Agreement is entered into effective as of the submitted Effective Date, by and between Chefs Feeding Kids 501c3, having its principal place of business at 4576 Harmony Pl. Rohnert Park Ca, 94928, and the party submitting this application.
1. Appointment: The Company hereby appoints the Ambassador as a non-exclusive brand ambassador for the Chefs Feeding kids 501c3 and Chefs Feeding Kids Culinary Center. The Ambassador agrees to represent and promote the Brands in a positive light.
2. Duties: The Ambassador agrees to undertake the following duties:
a. Promote and endorse the Brands through social media, events, or other marketing channels mutually agreed upon.
b. Create and share content related to the Brands in a manner consistent with the Company's guidelines.
c. Participate in marketing campaigns or events as requested by the Company.
3. Support: In consideration of the Ambassador's services, the Company agrees to provide support as follows:
a. 1 CFK Tee shirt, Logo Patch, Logo Sticker, and lapel Pin
b. Your Company listing on the CFK website “Ambassador locator page”
c. Press Release letter confirming your CFK ambassador status.
d. Promotions from participating vendors in the Restaurant industry
4. Term and Termination: This Agreement shall commence on the Effective Date and shall continue for [Term Length]. Either party may terminate this Agreement with [Notice Period] written notice to the other party.
5. Confidentiality: The Ambassador shall keep confidential any proprietary information, trade secrets, or business strategies disclosed by the Company during the term of this Agreement and thereafter.
6. Representations and Warranties: The Ambassador represents and warrants that:
a. They have the legal capacity and authority to enter into this Agreement.
b. They will comply with all applicable laws and regulations while performing their duties.
7. Indemnification: The Ambassador agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising out of the Ambassador's actions or representations.
8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Sonoma County California.
9. Entire Agreement: This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements, whether written or oral.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
